Contracts are the foundation of transacting in the modern business world. Many small companies are so eager to get the doors open, attract customers and move product that they fail to adequately protect themselves by having a clear understanding of their business obligations and commitments. Even if a company can’t afford a dedicated in-house legal department, it’s important that it have an experienced business attorney in its corner.   • Master Service Agreements: Help clients draft or update their main business agreement, tailored for all the services they provide–or want to be clear they don’t provide–with clear, comprehensive language for their customers and protective protective provisions for the client company. 
  • Vendor and Supplier contracts: Review and assess the “other side’s” boilerplate contract language from the perspective of my client, based on their stated and unstated business and legal goals. Negotiate directly with the other side, as needed.
  • Asset purchase agreements; stock purchase agreements: Provide counsel and draft documents for buyers and/or sellers of businesses, taking into account tax considerations as provided by client’s tax advisors. Assist in the consummation and closing of these deals.
  • Bringing on investors or business partners: Work with client businesses looking to expand or restructure to incorporate new outside investment, additional principals or owners.

Consultation

At the outset of each engagement, we take the time to clearly identify and map out the objectives of the subject transaction, what agreements and supporting documentation are needed for the transaction, and the granular steps to get there.

Research

Based on the objectives outlined, legal research is conducted to gain clarity on the factors at play and to flesh out the unknowns before drafting or revising the agreements supporting the transaction.

Documentation

Draft agreements are presented to the client in a manner and format that suit their level of expertise and familiarity with the subject matter – if I can’t get you to understand what we’re talking about in the documents, I’m not doing my job. 

Approval

Clients receive ample time to review and comprehend any and all agreements and documentation before executing, to ensure they are comfortable moving forward.
